ON-LINE CO-OP KIT POLICY
We are pleased that you are interested in ClearVision’s Co-Op advertising program. ClearVision’s On-Line Co-Op Kit provides participants in ClearVision’s Co-Op advertising program with an on-line, downloadable, “kit” of materials for the promotion and advertising of ClearVision’s diverse collection of eyewear.
General
Your use of the Co-Op portion of this Website is governed by the Terms
of Use for the Website, the specific terms pertaining to the use of the On-Line
Co-Op Kit set forth in this Co-Op Policy and the On-Line Co-Op Kit itself, and
applicable law.

By accessing the On-Line Co-Op Kit, you acknowledge that you have read, understand, and agree to be bound by the terms set forth below regarding the use of the On-Line Co-Op Kit materials. If you do not agree to any provision of the Co-Op Policy, do not access or use the On-Line Co-Op Kit materials.
We may update or revise this Co-Op Policy from time to time. You agree to review this Co-Op Policy regularly during your use of the On-Line Co-Op Kit. Your use of the On-Line Co-Op Kit materials following any such updates or revisions constitutes your agreement to follow and be bound by the terms as changed.
The On-Line Co-Op Kit is provided as a service to you for your reference on an AS IS, AS AVAILABLE basis. The On-Line Co-Op Kit and your use and possession thereof is subject to the Website Terms of Use including the Disclaimers set forth therein.
Permitted Uses and Restrictions
All advertising and promotion utilizing materials from the On-Line
Co-Op Kit must be approved in advance by ClearVision. Further, you also
agree to the following additional restrictions on the use of the On-Line Co-Op
Kit materials: (1) the On-Line Co-Op Kit materials will only be used in connection
with the marketing, promotion, and/or sale of the appropriate corresponding
product or product line provided by ClearVision; (2) the On-Line Co-Op Kit materials
may not be modified or altered, and must be used in accordance with all restrictions
on, or instructions provided as to, their use or display in this Co-Op Policy,
the On-Line Co-Op Kit, or from ClearVision from time to time; and (3) the use
of the On-Line Co-Op Kit materials will be restricted to territories in which
you are authorized to distribute and/or sell the products of ClearVision or
its licensors. The right to use or possession of the On-Line Co-Op Kit
materials may not be transferred or assigned without ClearVision’s prior
written approval. ClearVision reserves the right to withdraw its permission
to use any or all of the On-Line Co-Op Kit materials at any time. All
rights in and to the On-Line Co-Op Kit, including all trademarks, service marks,
trade names and logos (“Marks”), images and content contained therein
are owned by ClearVision or its licensors. All rights not expressly granted
herein are reserved by ClearVision and its licensors.
Marks and images contained in the On-Line Co-Op Kit materials cannot be altered in any way, and must appear in the same style, size, font and color as they appear in the On-Line Co-Op Kit. Marks and images provided in the On-Line Co-Op Kit, and the On-Line Co-Op Kit itself, may have a specified expiration date by which they must be used. Such Marks and images, and the On-Line Co-Op Kit itself, cannot be used past any such expiration date, even if the use of the particular image or Mark was previously approved, or represents frames or styles currently in stock. All advertisements, promotions and related materials utilizing the On-Line Co-Op Kit materials, including any Marks, images and content therein, must be pre-approved by ClearVision prior to their production and use. Use of Marks, images or content (i) from the On-Line Co-Op Kit on websites, or (ii) from a prior advertising campaigns, is not permitted without ClearVision’s prior approval, and absent such approval, will constitute a violation of this Co-Opt Policy and ClearVision’s licensing agreements. In addition to any other remedies ClearVision may have regarding any such un-permitted use, ClearVision will not reimburse the costs of any such use and campaigns pursuant to any Co-Op advertising arrangements ClearVision has with you, if any.
